Terms of Service
Last Updated: October 15, 2026
These Terms of Service (“Terms”) constitute a legally binding agreement between you (and the business, restaurant, franchise, or entity you represent, collectively “you,” “your,” or “Employer”) and GRAT AI, LLC, a Delaware limited liability company operating from California (“GRAT,” “Company,” “we,” “us,” or “our”), governing your access to and use of the mygrat.ai website, employer and employee portals, SMS orchestration tools, AI assistants, and related software-as-a-service offerings (collectively, the “Service”).
IMPORTANT NOTICE REGARDING ARBITRATION AND CLASS ACTION WAIVER: SECTION 12 OF THESE TERMS CONTAINS A MANDATORY, BINDING INDIVIDUAL ARBITRATION AGREEMENT AND A WAIVER OF JURY TRIALS, CLASS ACTIONS, COLLECTIVE ACTIONS, AND REPRESENTATIVE PROCEEDINGS. BY ACCESSING OR USING THE SERVICE, YOU EXPRESSLY AGREE TO THESE PROVISIONS.
IF YOU DO NOT AGREE TO EVERY PROVISION OF THESE TERMS, YOU ARE PROHIBITED FROM ACCESSING OR USING THE SERVICE.
1. Nature of the Service; Not a Law Firm, HR Advisor, or Joint Employer
GRAT provides cloud-based software automation tools designed to help businesses organize HR onboarding paperwork, distribute policies, track employee training, and store digital acknowledgments. GRAT AI, LLC is strictly a software technology provider. We are NOT a law firm, legal services provider, human resources consultancy, Professional Employer Organization (PEO), Employer of Record (EoR), or joint employer.
Nothing in the Service—including any templates, workflows, compliance scores, "Green Light" readiness indicators, AI-generated documents, or communications—constitutes legal, tax, financial, employment, or regulatory advice, nor does use of the Service create an attorney-client, fiduciary, or joint-employment relationship between GRAT and you or any of your employees.
2. No Guarantee of Compliance or Immunity from Lawsuits & Fines
THE SERVICE IS AN ADMINISTRATIVE AID ONLY AND DOES NOT ELIMINATE LEGAL OR REGULATORY RISK. While GRAT is designed to help you organize and document your compliance efforts so that your business may be better prepared when facing employment disputes or audits, GRAT AI, LLC explicitly makes NO guarantee, representation, or warranty that using the Service will prevent, eliminate, or successfully defend against employee lawsuits, wrongful termination claims, wage-and-hour disputes, Private Attorneys General Act (PAGA) claims, harassment or discrimination claims, Department of Labor (DOL) or OSHA investigations, health department citations, or any local, state, or federal regulatory fines or penalties.
- Employer's Sole Responsibility: Employment, labor, hospitality, and safety laws vary by jurisdiction and change frequently. You are 100% solely responsible for consulting qualified legal counsel to verify that your policies, onboarding forms, wage notices, disciplinary write-ups, separation notices, employee classifications, and training selections comply with all applicable federal, state, and local laws.
- Electronic Signatures & Audit Receipts: While GRAT captures electronic signatures and generates timestamped Compliance Audit Receipts, GRAT does not warrant the legal sufficiency, admissibility, or enforceability of any specific signed document, arbitration agreement, or disciplinary record in any court, arbitration, or administrative proceeding.
- Third-Party Marketplace Training: Any third-party training courses made available through the GRAT Marketplace (including, without limitation, sexual harassment prevention or food handler courses provided by third-party partners) are created and administered by independent third-party vendors. GRAT makes no warranty regarding the statutory sufficiency, accreditation, or regulatory acceptance of any third-party course.
3. Artificial Intelligence (AI) Disclaimers & Human Review Requirement
The Service incorporates generative and analytical Artificial Intelligence (“AI Features”), including AI-drafted policies, employee warning letters, separation notices, "Ask AI" HR copilot responses, automated document parsing, form-field mapping, critical initiative prioritization, and automated multi-lingual translations (e.g., Spanish, Tagalog).
- Probabilistic Nature & Potential Inaccuracies: You acknowledge that AI systems are probabilistic and may produce outputs that are inaccurate, incomplete, outdated, non-compliant with specific local statutes, or (“hallucinated”).
- Mandatory Human Review: All AI-generated documents, warning letters, disciplinary records, policy answers, form mappings, and recommendations are provided strictly as unverified drafts. You agree that a qualified human representative of your business (and, where appropriate, your legal counsel) must review, edit, and verify every AI-generated output before dispatching it to any employee or relying upon it for any employment decision, discipline, or termination.
- Multi-Lingual Translations: Automated translations of documents, forms, SMS messages, and portal interfaces are provided solely for operational convenience. GRAT does not warrant that automated translations are certified or legally equivalent to the source text. In the event of any discrepancy or legal requirement for certified translations, you are solely responsible for providing verified translations.
- Zero Liability for AI Reliance: You assume all risk and liability arising from your use of, or reliance upon, any AI Feature or AI-generated output.
4. Right to Cancel, Suspend, or Terminate for Abuse
GRAT AI, LLC RESERVES THE ABSOLUTE RIGHT TO SUSPEND OR CANCEL ANY ACCOUNT OR SUBSCRIPTION AT ANY TIME FOR ABUSE OR VIOLATION OF THESE TERMS. Without limiting our other remedies, we may immediately and without prior notice suspend, restrict, throttle, or permanently terminate your account, subscription, and access to the Service—without refund or liability of any kind—if we determine, in our sole and absolute discretion, that you or any user under your account has engaged in:
- Abuse, misuse, or excessive/automated consumption of SMS messaging, email delivery, AI queries, API endpoints, or storage resources;
- Sending spam, unsolicited commercial messages, unlawful threats, defamatory content, or harassing communications through the Service;
- Uploading malicious code, viruses, fraudulent documents, or unlawful content;
- Attempting to probe, scan, reverse-engineer, scrape, copy, or benchmark the Service to build or assist a competing product;
- Abusing promotional codes, free trials, referral programs, or initiating wrongful credit card chargebacks or payment disputes;
- Sharing login credentials outside your authorized organization or misrepresenting your identity or business entities; or
- Any other conduct that we deem harmful to GRAT AI, LLC, our infrastructure, our telecom/SMS carriers, our third-party partners, or other users.
We further reserve the right to refuse service or terminate any subscription for convenience upon written notice.
5. Subscriptions, Metered Billing, Promo Codes & No-Refund Policy
- Subscription & Usage Billing: By subscribing to the Service, you authorize GRAT AI, LLC (via our payment processor, Stripe) to charge your designated payment method on a recurring monthly basis for: (a) the applicable base platform fee per active location/business entity, (b) metered per-active-employee usage fees calculated based on active team members during the billing cycle, and (c) any pay-as-you-go Marketplace training fees or add-on charges incurred by your account.
- Promo Codes & Trials: Promotional codes and trial extensions are granted at GRAT's sole discretion, have no cash value, are non-transferable, and may be modified, revoked, or terminated by GRAT at any time without notice.
- All Charges Non-Refundable: Except as expressly required by law, all subscription fees, active-user charges, and Marketplace training charges are final and non-refundable, including for partial months of service, unused capacity, or accounts terminated for violation of these Terms.
- Standby Read-Only Mode: If your subscription expires, is canceled, or a payment fails beyond the applicable grace period, write access and automated SMS/AI features will be locked ("Standby Mode"). While we may provide limited read-only access to historical records at our discretion, GRAT is not an archival guarantor and you remain solely responsible for exporting and backing up your compliance records.
6. Employee Data, SMS/TCPA Authorization & Employer Warranties
When you upload, sync, or input employee names, phone numbers, email addresses, or employment records into the Service, you instruct GRAT to send automated SMS text messages and emails to those individuals on your behalf. You expressly represent, warrant, and covenant that:
- You have obtained all legally required prior express consents, authorizations, and disclosures from every employee or individual whose phone number or email address you provide to GRAT, in full compliance with the Telephone Consumer Protection Act (TCPA), applicable state telemarketing/SMS laws, and workplace privacy laws, authorizing GRAT to send automated work-related and compliance SMS/MMS text messages and emails to their mobile device;
- You immediately update or deactivate in GRAT any employee who revokes consent, changes their phone number, or terminates employment; and
- You have provided all required employee privacy notices under the California Consumer Privacy Act (CCPA/CPRA) and other applicable laws, and have full legal authority to disclose employee personal information to GRAT as your service provider.
7. Data Usage, Anonymized Aggregation & AI Improvement
By using the Service and uploading organizational policies, handbooks, templates, system metadata, or telemetry, you grant GRAT AI, LLC a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, transferable license to ingest, anonymize, aggregate, and utilize such organizational data to train and fine-tune our algorithms, expand our Retrieval-Augmented Generation (RAG) knowledge base, and improve the Service. All Personally Identifiable Information (PII) and company-specific identifiers are stripped prior to aggregation.
STRICT EXCLUSION OF EMPLOYEE SUBMISSIONS: GRAT strictly separates employer organizational templates from employee-submitted records. We do not use employee-submitted tax forms (e.g., W-4, I-9), personal IDs, medical records, signatures, or completed compliance audit receipts to train generalized AI models.
AI DATA WAIVER: You irrevocably waive any and all claims against GRAT AI, LLC arising out of the anonymization, processing, or algorithmic use of organizational templates and metadata, including any claim of similarity between globally generated templates and your internal procedures.
8. Intellectual Property Rights
The Service, including its source code, algorithms, user interface, prompts, workflows, trademarks, logos, and documentation, is and shall remain the sole and exclusive property of GRAT AI, LLC and its licensors. Any feedback, suggestions, or feature requests you provide may be used by GRAT AI, LLC without restriction or compensation to you.
9. Disclaimer of Warranties (“AS-IS” AND “AS-AVAILABLE”)
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE, ALL AI FEATURES, TEMPLATES, MARKETPLACE COURSES, AND CONTENT ARE PROVIDED STRICTLY ON AN “AS-IS” AND “AS-AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED, OR STATUTORY. GRAT AI, LLC EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, COMPLETENESS, QUIET ENJOYMENT, AND NON-INFRINGEMENT.
GRAT AI, LLC DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) SMS OR EMAIL MESSAGES WILL BE DELIVERED WITHOUT CARRIER FILTERING OR DELAY; (C) ANY AI OUTPUT OR TEMPLATE WILL BE ACCURATE OR LEGALLY COMPLIANT; OR (D) USE OF THE SERVICE WILL PREVENT LAWSUITS, FINES, OR AUDIT PENALTIES.
10. Absolute Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GRAT AI, LLC, ITS MEMBERS, MANAGERS, FOUNDERS, OFFICERS, EMPLOYEES, AGENTS, INVESTORS, PARTNERS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES WHATSOEVER, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITIES.
WITHOUT LIMITING THE FOREGOING, GRAT AI, LLC SHALL HAVE ZERO LIABILITY FOR ANY: (I) EMPLOYEE LAWSUITS, WRONGFUL TERMINATION CLAIMS, WAGE-AND-HOUR OR PAGA CLAIMS, OR HARASSMENT/DISCRIMINATION CLAIMS BROUGHT AGAINST YOU; (II) GOVERNMENT, OSHA, DOL, TAX, HEALTH DEPARTMENT, OR REGULATORY FINES, PENALTIES, OR AUDIT FAILURES; (III) ERRORS, HALLUCINATIONS, OR OMISSIONS IN AI-GENERATED OUTPUTS OR TRANSLATIONS; (IV) TCPA OR PRIVACY CLAIMS ARISING FROM COMMUNICATIONS SENT TO CONTACTS UPLOADED BY YOU; OR (V) UNAUTHORIZED ACCESS TO OR LOSS OF DATA.
LIABILITY CAP: IN NO EVENT SHALL THE AGGREGATE TOTAL LIABILITY OF GRAT AI, LLC FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE (WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR STATUTE) EXCEED THE LESSER OF: (A) THE TOTAL SUBSCRIPTION FEES ACTUALLY PAID BY YOU TO GRAT AI, LLC IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00). MULTIPLE CLAIMS SHALL NOT EXPAND THIS LIMIT.
11. Indemnification
You agree to defend, indemnify, and hold completely harmless GRAT AI, LLC and its founders, members, managers, officers, employees, contractors, investors, and affiliates from and against any and all claims, demands, lawsuits, regulatory investigations, fines, penalties, liabilities, damages, judgments, settlements, losses, costs, and expenses (including reasonable attorneys’ fees and expert costs) arising out of or relating to:
- Your access to or use of the Service, or use by any of your administrators, managers, or employees;
- Any employment dispute, discipline, warning letter, termination, wage claim, harassment claim, or lawsuit between you and any current, former, or prospective employee or contractor;
- Your reliance on, or failure to independently review with legal counsel, any AI-generated output, policy, translation, form, or template;
- Any regulatory audit, inspection, fine, or penalty imposed on your business by any local, state, or federal agency;
- Any allegation that employee data, phone numbers, or SMS/email communications initiated through your account violated the TCPA, CCPA/CPRA, or any privacy, labor, or intellectual property right; or
- Your breach of any representation, warranty, or obligation in these Terms.
12. Mandatory Binding Arbitration & Class Action / PAGA / Jury Waiver
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO PARTICIPATE IN A CLASS OR REPRESENTATIVE ACTION.
- Informal Resolution First: Before initiating arbitration, the aggrieved party must send a written Notice of Dispute to the other party (to GRAT at legal@mygrat.ai) describing the claim and requested relief. If the dispute is not resolved within sixty (60) days of receipt, either party may initiate arbitration.
- Binding Individual Arbitration: Except for claims by GRAT AI, LLC seeking injunctive or equitable relief to protect its intellectual property, confidential information, or platform security, or claims to collect unpaid fees, any dispute, claim, or controversy arising out of or relating to these Terms, the Privacy Policy, or the Service (including the threshold question of arbitrability) shall be resolved exclusively by final and binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules before a single neutral arbitrator.
- Arbitration Venue: The seat and place of arbitration shall be Santa Clara County, California (or conducted remotely via videoconference if mutually agreed or ordered by the arbitrator). The Federal Arbitration Act (9 U.S.C. § 1 et seq.) governs the interpretation and enforcement of this arbitration agreement.
- ABSOLUTE CLASS ACTION, COLLECTIVE ACTION & REPRESENTATIVE ACTION WAIVER: YOU AND GRAT AI, LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF, CLASS MEMBER, OR PRIVATE ATTORNEY GENERAL IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, MASS ARBITRATION, PRIVATE ATTORNEYS GENERAL ACT (PAGA) ACTION, OR OTHER REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person’s or entity’s claims and may not preside over any form of representative or class proceeding.
- WAIVER OF JURY TRIAL: To the extent any claim is permitted to proceed in court rather than arbitration, YOU AND GRAT AI, LLC IRREVOCABLY WAIVE ANY RIGHT TO A TRIAL BY JURY.
- One-Year Limitation Period: Regardless of any statute or law to the contrary, any claim or cause of action by you arising out of or related to the Service or these Terms must be filed within one (1) year after such claim or cause of action arose, or be forever barred.
13. Governing Law, Exclusive Judicial Venue & Controlling Language
Except to the extent governed by the Federal Arbitration Act, these Terms and any dispute arising hereunder shall be governed by and construed in accordance with the internal laws of the State of Delaware (the state of formation of GRAT AI, LLC), without regard to conflict-of-law principles. For any judicial proceeding permitted under these Terms (such as enforcing an arbitral award or seeking injunctive relief), the parties consent to the exclusive personal jurisdiction and venue of the state and federal courts located in Santa Clara County, California or the State of Delaware.
CONTROLLING LANGUAGE: These Terms are drafted in the English language. Any translation into Spanish or any other language is provided strictly for convenience and informational purposes only. The English language version of these Terms is the sole legally binding agreement, and in the event of any conflict, ambiguity, or discrepancy between the English version and any translated version, the English version shall govern and control in all respects.
14. Communications & Mobile SMS Consent
By creating an account or providing a telephone number or email address, you expressly consent to receive operational, administrative, billing, security, and promotional communications from GRAT AI, LLC via email and automated SMS/MMS text messages. Message frequency varies. Standard message and data rates may apply. You may opt out of promotional SMS messages at any time by replying “STOP” or opt out of marketing emails via the unsubscribe link. Opting out of operational or security messages may impair your use of the Service.
15. Force Majeure, Modifications & Severability
GRAT AI, LLC shall not be liable for any delay, interruption, or failure in performance resulting from causes beyond its reasonable control, including internet or cloud provider outages (e.g., AWS, Vercel), mobile carrier SMS filtering, third-party LLM/API outages, cyber-attacks, labor disputes, acts of God, or government actions.
We reserve the right to modify or update these Terms at any time in our sole discretion by posting the revised Terms on this page. Your continued access to or use of the Service after any modification becomes effective constitutes your binding acceptance of the revised Terms. If any provision of these Terms is held invalid or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect.
Questions regarding these Terms should be directed to GRAT AI, LLC at legal@mygrat.ai or hello@mygrat.ai.
